These Terms of Use ("Terms") govern your access to and use of Pulse (the "Service"), provided by Axiolo LLC ("Axiolo," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
You may use the Service only if you can form a binding contract with Axiolo and only in compliance with these Terms and all applicable laws. The Service is not directed to children under 13, and you must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use it.
Pulse distinguishes between two user types: Operators (account holders who create engagements) and Clients (recipients of magic links who provide responses). These Terms apply to both.
To use the Service as an Operator, you must create an account using a valid email address or by signing in through Google or Microsoft. You are responsible for safeguarding your credentials and for any activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized access.
Magic links sent to Clients grant access to a specific engagement. Operators are responsible for sending links only to intended recipients.

The Service allows you to submit and store content including engagement cards, client responses, comments, and file uploads (collectively, "Your Content"). You retain all ownership rights in Your Content.
You grant Axiolo a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Your Content solely to provide and improve the Service to you. You represent and warrant that you have the rights necessary to grant this license.
You are solely responsible for Your Content and for the consequences of sharing it.
We work to keep the Service available but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time. Where reasonably practicable, we will provide notice to Operators of material changes that adversely affect their use.
The Service integrates with third-party services such as Google, Microsoft, and task-tracking tools selected by Operators. Your use of those services is governed by their own terms and privacy policies. We are not responsible for third-party services.
Except for Your Content, the Service and all software, designs, text, graphics, and other materials made available through the Service are owned by Axiolo or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
If you provide feedback, suggestions, or ideas about the Service, you grant Axiolo a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.
You may stop using the Service and request account deletion at any time by contacting [email protected]. We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or if we are required to do so by law. On termination, Sections 4 (your content license, to the extent necessary to provide remaining services), 7 (intellectual property), 10 (disclaimers), 11 (limitation of liability), 12 (indemnification), and 13 (governing law and disputes) survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXIOLO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO AXIOLO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
You will indemnify, defend, and hold harmless Axiolo and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content; (b) your use of the Service; or (c) your violation of these Terms or any applicable law.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you and Axiolo consent to personal jurisdiction and venue there.
We may update these Terms from time to time. When we do, we will revise the "Effective date" above and, where appropriate, notify Operators by email or through the Service. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
These Terms are the entire agreement between you and Axiolo regarding the Service and supersede all prior agreements on that subject. If any provision is held invalid, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our written consent; we may assign them without restriction.
